Assessing board performance requires consideration of how directors conduct themselves, the quality of board processes and the results the board achieves. VMO refers to this as the triple P assessment method
People - Process - Performance.
Board evaluation can be a powerful tool to lift performance. There are various factors in a comprehensive performance assessment including the teamwork of directors, the contribution individual directors make to implementing board duties, functions and powers, and the processes used by the board. In addition, the performance evaluation process must validate that directors understand the organization they are responsible for and their capacity to engage in the major decisions that will shape the organization’s future.
A sound board assessment process must check a variety of evidence sources and not just rely on the opinions of those involved. The specific legal and environmental factors in which the board operates must also be understood before a board assessment can add value. VMO’s methodology covers the triple Ps of board performance through the following process:
- Defining the scope and objectives of the review
- Directors and informed members of senior management completing a performance survey of the board, chairperson and individual directors
- Interviews with directors to explore their understanding of the organization, their particular strengths and areas for further development
- An interview with the CEO to assess the operational perspective on Board performance
- Evidence checks to validate the performance of the board
- Presenting the major conclusions from stages 1 to 5 at a board briefing
- Feedback to individual directors
- The production of a final report with recommendations and benchmark data
